留50%股权并享有保底分红及额外收益分成。　　UTG集团此前曾负责花花公子品牌在中国大陆地区的独家总代理。　　UTG总部位于上海，作为一家全球消费品品牌管理集团，目前管理着10多个国际品牌，包括美国Jeep（吉普）以及意大利品牌VERRI、Alpina（袋鼠）、Roberta di Camerino（诺贝达）等意大利品牌。2008年，UTG还参与收购了“皮尔·卡丹”（Pierre Cardin）。

管理花花公子在中国内地、香港及澳门地区的业务运营。　　根据协议条款，花花公子将获得总额1.22亿美元现金，交易金额分三部分：其中4500万美元分两年支付，作为UTG收购花花公子中国业务合资企业50%股权的对价；6700万美元为八年期最低保证分红；另加未来三年1000万美元品牌支持款项。　　交易完成后，UTG将主导中国市场的产品开发、渠道拓展及品牌运营，花花公子保留50%股权并享有保底分红及额外收益
